Terms of service

These Terms of service (Terms) govern your access to and use of the www.nemphi.com website, the web application, the mobile and desktop applications, the API, the MCP endpoint, the site editor, websites hosted on nemphi.app, and related services (the Service) operated by Nemphi Group S.A.S. (Nemphi).

By registering, accessing, or using the Service, you agree to these Terms and our Privacy policy. If you use the Service on behalf of an organization, you represent that you have authority to bind it.

Nemphi is a complete business solution aided by agentic automation: accounting, documents, e-invoicing, payments, payroll, inventory, projects, CRM, email and calendar, WhatsApp and social messaging, marketing and advertising, websites and domains, calls, workflows, analytics, and automated agents, exposed through one audited pipeline. The Service evolves continuously; we may add, change, or retire features, with reasonable notice when a change materially affects your operation.

You must provide accurate information and keep your credentials, API keys, and authorized applications confidential. You are responsible for activity on your account, for members invited to your workspace, and for third-party applications you grant access through OAuth, including MCP clients.

If your organization connects its identity provider (SSO or SCIM), its administrators can create, change, and deactivate access to your workspace.

Each workspace is an isolated container of business data. Do not use the Service to access third-party data without authorization.

Agents may propose and execute actions through registered tools. You configure autonomy per tool and workspace. Financial actions or those with external effect may require explicit approval from an authorized person.

You remain responsible for reviewing proposals, approving operations, and meeting your business's accounting, tax, and legal obligations. Nemphi does not provide legal, accounting, or tax advice.

You must not:

• Violate applicable laws or third-party rights.
• Attempt unauthorized access to systems, data, or workspaces you do not belong to.
• Interfere with the security, stability, or integrity of the Service.
• Use the Service to distribute malware, spam, or unlawful content, on your websites or through any messaging channel.
• Message or advertise to people who have not consented, or breach the policies of Meta, Google, LinkedIn, TikTok, or any other platform you connect.
• Reverse engineer the Service except where law expressly permits it.

We may suspend or terminate access, or take down a published website, if we detect abusive use or risk to other customers.

You retain ownership of data you upload or generate in your workspace, including the content of your websites. You grant us a limited license to host, process, back up, display, and, for websites, publish that data solely to provide the Service, as described in the Privacy policy.

You are responsible for obtaining any consents required to process personal data of third parties (employees, customers, suppliers, messaging contacts, visitors to your websites) through the Service, and for posting on your websites any notices the law requires.

Every website receives a nemphi.app subdomain and may use its own domain. nemphi.app subdomains belong to Nemphi and are assigned while the site exists.

When you buy a domain from the platform, the registration is made through our registrar account, on your behalf and for your use, at the price quoted and approved before the purchase. You are responsible for the accuracy of the registration details and for renewal costs. You may request transfer of the domain to your own account, subject to the registrar's rules and waiting periods. A deleted site can be recovered for 7 days.

The Service connects to outside providers (payments, DIAN and e-invoicing, email, calendar, WhatsApp, social networks, advertising platforms, identity). Those services have their own terms. Nemphi does not control or guarantee their availability.

During early access the Service may be offered at no charge or on special terms communicated separately. When we introduce paid plans, we will give reasonable advance notice. Third-party costs you expressly authorize, such as a domain registration, are charged at the approved price. Unless stated otherwise, fees are non-refundable for periods already billed and for domain registrations.

THE SERVICE IS PROVIDED AS IS AND AS AVAILABLE, TO THE EXTENT PERMITTED BY LAW. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FIT FOR A PARTICULAR PURPOSE. AI OUTPUTS MAY CONTAIN ERRORS; YOU MUST REVIEW THEM BEFORE RELYING ON THEM FOR BUSINESS DECISIONS.

TO THE EXTENT PERMITTED BY LAW, NEMPHI WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA, OR GOODWILL. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE IS LIMITED TO THE GREATER OF (A) AMOUNTS YOU PAID NEMPHI IN THE TWELVE MONTHS BEFORE THE EVENT OR (B) ONE HUNDRED US DOLLARS (USD 100).

You may stop using the Service at any time. An owner can delete the workspace from settings; it is locked for 30 days, during which the deletion can be cancelled, and is then deleted. We may suspend or terminate access if you breach these Terms, for security risk, or if we discontinue the Service, with reasonable notice when possible.

Sections that by their nature should survive (data ownership, liability limits, governing law) remain in effect.

These Terms are governed by the laws of the Republic of Colombia, without regard to conflict-of-law rules. Disputes will be submitted to the competent courts of Bogotá D.C., unless mandatory law in your jurisdiction provides otherwise.

We may modify these Terms. We will post the current version at www.nemphi.com/legal/terms. Continued use of the Service after the effective date constitutes acceptance, unless the law requires additional consent.
